Book description
This work first looks at the economic theory, legal doctrines and considerations of fairness, to determine who ought to be able to sue directors in the event of company insolvency. Next it considers alternatives to director liability, before concluding that no other means of creditor compensations provides the same measure of deterrence of improper behaviour by the directors. Director liability is seen as crucial, not only for the compensation of present claimants but for the deterrence of behaviour which could lead to future claims.

About the author
Dr. Helen Anderson, LLB (Honours) - University of Melbourne, Graduate Diploma in Business (Accounting) - Monash University, LLM - Monash University, Doctor of Philosophy - Monash University, Barrister and Solicitor is Acting Head, Department of Business Law and Taxation, Faculty of Business and Economics, Monash University.
Dr Anderson graduated from the University of Melbourne in 1981, and joined a firm of Melbourne solicitors, where she completed her articles and was admitted to practice. She later worked for the Legal Aid Commission of Victoria.
In 1989 Helen commenced her academic career at Monash University, completing a Graduate Diploma in Business (Accounting) in 1992. She later completed an LLM by major thesis at Monash University, followed by a PhD. Her doctoral thesis concerned the fairness of imposing liability on directors for company debts.
